How to Get a PA LLC Certificate of Organization
If you want to form a Pennsylvania limited liability company, you must file a Certificate of Organization with the Pennsylvania Department of State. This article will tell you how to get a PA LLC Certificate of Organization.

Overview
Go to the Pennsylvania Department of State website.
The Pennsylvania Department of State website provides a link to the online submission form for the Certificate of Organization, as well as instructions for those who prefer to submit a paper application. The form must be completed in full and accompanied by the required filing fee before it will be processed.
Click on the Businesses link.
The Businesses link is located on the Pennsylvania Department of State’s website. Clicking on this link will take you to a page where you can search for business filings. To get a PA LLC Certificate of Organization, you will need to search for LLCs and then select the appropriate filing.
Click on the Business Forms link.
Businesses Forms – To register a new business or file annual updates to an existing business, click on the Business Forms link. The Business Forms link directs you to the Department of State’s Business One-Stop Shop. The Business One-Stop Shop is an online portal that enables you to complete and file various business entity filings and pay any associated fees with one transaction.
From the Business One-Stop Shop homepage, select “Forms” from the navigation menu on the left-hand side of the screen. Next, select “submit.” If you are registering a new business, select “New Filing.” If you are filing annual updates for an existing business, select “Annual Report/Statement.”
For both new filings and annual updates, you will be required to provide information about your business such as the business name, registered address, contact information, and type of business entity. You will also be asked to review and agree to the terms and conditions of using the Business One-Stop Shop. Once you have reviewed and agreed to the terms and conditions, select “submit” to continue.
If you are registering a new business, you will be directed to a page where you can select the type of business entity you wish to form. For this example, we will select “Limited Liability Company (LLC).” After making your selection, select “Continue.”
You will be taken to a page with instructions on how to complete and submit your Certificate of Organization. Be sure to read these instructions carefully before proceeding. When you are ready to complete your Certificate of Organization, select “Continue.”
On the next page, you will be prompted to enter information about your LLC such as the LLC name, registered address, principal office address, names of members and managers, purpose of LLC formation, etc. Once you have completed all required fields, review your entries for accuracy then select “Preview Certificate” at the bottom of the page.
This will take you to a summary page where you can review all information entered on previous pages. If everything looks correct, select “Submit Certificate.” You will then be asked to review and agree to the terms and conditions governing electronic notarization. Once you have reviewed and agreed to these terms, select “Proceed with E-Notarization.”
Download the Certificate of Organization form.
The first step in forming a PA LLC is to download the Certificate of Organization form from the Pennsylvania Department of State website. This form must be completed and filed with the Department of State, along with the required filing fee, in order to officially form your LLC.
The Certificate of Organization must include the following information:
-The name of your LLC
-The date your LLC was formed
-The address of your LLC’s registered office
-The names and addresses of your LLC’s organizers
-A statement confirming that your LLC is a limited liability company
-The signature of your LLC’s organizer
Once you have completed the Certificate of Organization form, you must file it with the Pennsylvania Department of State, along with the required filing fee. You can file online, by mail, or in person.
Complete the form.
To form a Pennsylvania LLC, you’ll need to complete and file the Certificate of Organization with the PA Department of State. The form must include:
-The LLC’s name and address
-The LLC’s purpose
-The LLC’s duration
-The LLC member(s) information
-The name and address of the LLC’s registered agent
-The date on which the LLC will dissolve, if applicable
Once you’ve completed the form, you’ll need to submit it along with the filing fee to the PA Department of State.
Submit the form to the Department of State.
You can submit the form by mail or in person. The LLC registration fee is $125, payable to the “Department of State.” You can pay by check, credit card, or money order.
