The Department of Licensing and Regulatory Affairs (LARA) is the Michigan government agency that oversees the formation of all businesses in the state, including Limited Liability Companies (LLCs). LLCs are a type of business entity that offers personal liability protection to its owners, similar to a corporation. However, unlike a corporation, an LLC is not required to have a board of directors or hold annual meetings.
To form an LLC in Michigan, you must file several documents with the state, including Articles of Organization and a Registered Agent Statement. These forms can be filed online via the LARA website.
Before you begin, you will need to choose a name for your LLC. The name must include the words “Limited Liability Company” or “LLC” and it cannot be the same as another business name already on file with the state. Once you have chosen a name, you can check for availability using the LARA Business Entity Search tool.
When you are ready to begin, go to the LARA website and click on the “Business Filings” link. Scroll down to the “Limited Liability Companies” section and click on the “File Now” button. You will be taken to the Michigan Business One Stop website where you can create an account and begin filing your LLC paperwork.

In order to form a Michigan LLC, you will need to file the Articles of Organization with the Michigan Department of Licensing and Regulatory Affairs. This can be done online through the LARA Business Filings website.
1. Go to the LARA Business Filings website.
2. Click on the link for the Business Filings.
3. Scroll down and click on the link for Limited Liability Companies.
4. Click on the link for Articles of Organization.
5. Fill out the form and submit it online.
You will need to pay a filing fee of $50 in order to submit your Articles of Organization. Once your LLC has been formed, you will need to elect a registered agent and file an Annual Report every year.

The state of Michigan offers potential LLC owners the ability to form their business online through the Department of Licensing and Regulatory Affairs. Before beginning the process, you will need to have the following information and documents on hand:
-The name of your LLC
-The names and addresses of all LLC members
-The registered agent information, including name and address
-A Certificate of Good Standing from your home state (if applicable)

Select the option to Form a New LLC
The first step in forming a Michigan LLC online is to select the option to form a new LLC. You will be asked to provide some basic information about your business, including the name of the LLC, the registered agent, the purpose of the LLC, and the names of the members. Once you have provided this information, you will be able to submit your application for formation.
Enter the required information about the LLC
Enter the name of your limited liability company, the street address of your LLC, the names and addresses of the LLC’s organizers and the LLC’s initial registered agent and their street address. The organizers are the people who sign the articles of organization and can be any adults, including yourself. The registered agent is a person or business that agrees to accept legal documents on behalf of the LLC. The street address must be a physical address in Michigan, not a P.O. Box.
Pay the filing fee
You can pay the filing fee online with a credit card, or you can print out the form and mail it in with a check or money order. The filing fee is $50.
Download the Certificate of Formation
The first step in forming your Michigan LLC is to download the Certificate of Formation from the Michigan SOS website. You’ll need to fill out some basic information about your LLC, including the LLC name, registered agent, purpose, and duration. You’ll also need to pay a filing fee of $50.
Once you’ve completed the Certificate of Formation, you can submit it online, by mail, or in person at the Michigan SOS office. If you submit it online or by mail, you’ll need to pay an additional $15 expedited filing fee. If you submit it in person, you can pay with cash, check, or money order.
Once your Certificate of Formation is filed, your LLC will be officially formed! You’ll receive a confirmation email from the Michigan SOS office within 5-7 business days.
